Terms of Service

The rules for using wynora.co and your Wynora data portal, in plain English.

EFFECTIVE OCTOBER 16, 2026

Agreeing to these terms

These Terms apply when you use wynora.co, the data portal at data.wynora.co, or any related service from Wynora LLC ("Wynora", "we", "us"). By using them, you agree to these Terms and to our Privacy Policy. If you use them for a company, you confirm that you are allowed to act for that company, and "you" includes the company.

You must be at least 18 and using our services for a business. If you do not agree to these Terms, do not use our services.

What Wynora does

Wynora helps companies license their business data for use in training and evaluating AI. Depending on the program, we either license data directly from you, or refer you to one of our data partners who licenses it from you. When you license data to Wynora, we may assign that license to a licensing partner we work with, which then takes over the agreement and pays you directly under its terms.

Using our website or portal, filling out a Data Manifest or receiving an offer does not obligate you to anything. You are only bound by a licensing agreement that you choose to sign.

Estimates and offers

  • Estimates are not final. Any estimate we show, including an estimated offer in your portal, is based on what you told us and is not a binding offer. Final offers are occasionally a bit higher, and can also be lower if the data turns out to be different from what was described.
  • Written offers are valid only for the time stated and only for the data described.
  • Data partner offers: when we refer you to a data partner, the partner makes its own official offer and you sign up and contract directly with that partner. We are not a party to that agreement and are not responsible for the partner's decisions, offers or payments.
  • Payment terms, rights granted and other details are set only by the signed licensing agreement. If the agreement and these Terms conflict, the agreement wins.

Fees we receive

Licensing partners and data partners we work with may pay us a fee when we introduce your company or when a license we sign is assigned to them. We never charge you a fee for using our service.

Your data and what you tell us

  • You confirm that the information you give us, including your Data Manifest, is accurate and complete to the best of your knowledge.
  • You only offer data your company owns or has the right to share. Do not include customer data you are not allowed to share, export-controlled data (such as ITAR or EAR data), or information you are under a duty to keep confidential.
  • Your data stays yours unless and until you license it under a signed agreement. Sharing a Data Manifest or a sample folder link with us gives us only a limited right to review and evaluate them and, as described in our Privacy Policy, share summaries with data partners or licensing partners. Any wider rights come only from a signed licensing agreement.
  • Samples are shared as a folder link to your own storage. We pass the link to our licensing partner so it can evaluate your data, and we do not copy the files. You can turn off sharing at any time.
  • Once you submit a Data Manifest it is locked, for security and legal reasons. If something needs to change, contact your Wynora specialist.

Your portal account

Each person should have their own account, and accounts may not be created or used by bots. You are responsible for keeping your sign-in codes, links and password private and for activity on your account. Tell us right away if you think someone has used your account without permission. We may suspend or close accounts that break these Terms or are used for fraud.

Confidentiality and publicity

Estimates, written offers, pricing and other non-public information we share with you are confidential. Use them only to decide whether to work with us or our data partners, and do not share them with others except your own advisers who keep them confidential.

We keep your Data Manifest and the fact that you are working with us confidential, except as described in our Privacy Policy. We will not name your company publicly, for example as a client or in our ads, without your permission.

Calls, texts and emails

By submitting the Get an offer form, you agree that we may contact you by phone, text or email about your company's data and your offer, including by automated means. Agreeing is not a condition of using our services. Message frequency varies. Message and data rates may apply. Reply STOP to stop texts at any time and HELP for help. Mobile carriers are not responsible for delayed or undelivered messages.

You agree that we may send you notices, offers and other documents electronically, by email or in your portal, and that these meet any legal requirement that they be in writing. Agreements may be signed electronically.

Acceptable use

Do not misuse our services. For example, do not:

  • give false information or pretend to be another person or company,
  • upload anything harmful, unlawful or that you do not have the right to share,
  • try to access accounts or data that are not yours, or interfere with how our services run,
  • scrape, copy or resell our website or portal, or use automated tools to access them except as we allow,
  • upload viruses or other harmful code, or test the security of our services without our written permission,
  • copy, reverse engineer or build a competing service from our website, portal, estimates or offers,
  • use our services in a way that breaks any law, including export control and sanctions laws.

Our content and feedback

The Wynora name, logo, website, portal and their content belong to us or our licensors. We give you a limited, personal, revocable right to use them only to use our services as intended. All other rights are reserved.

If you send us ideas or suggestions about our services, we may use them freely without paying you or owing you anything.

If you believe something on our services infringes your copyright, email privacy@wynora.co with the work, where it appears and your contact details.

Partner and third-party sites

Our services link to sites and tools we do not run, such as a data partner's sign-up page or a page for booking a call. Your use of them is governed by their own terms and privacy policies. We do not control and are not responsible for them, including any offer, decision or payment a data partner makes.

Disclaimers

Our website and portal are provided "as is" and "as available". To the fullest extent the law allows, we make no promises that they will be uninterrupted or error-free, or that any estimate, offer or referral will lead to an agreement or a particular amount. We do not promise that any data partner or licensing partner will accept your data. Nothing on our website or portal is legal, tax or financial advice, so talk to your own advisers before you sign an agreement.

Limit of liability

To the fullest extent the law allows, Wynora will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of our website or portal. Our total liability for all claims about them is limited to $100. Some places do not allow some of these limits, so they apply to you only as far as the law allows. This does not limit any obligation in a signed licensing agreement between you and Wynora, which is governed by its own terms.

Your responsibility to us

If you break these Terms or the law, provide data you do not have the right to share, or give us false information, you agree to defend Wynora and its owners, employees and contractors against resulting claims from others, and to cover the reasonable losses and costs this causes us, including reasonable legal fees.

Release

If you have a dispute with a data partner, licensing partner or other third party you met through our services, that dispute is between you and them. To the fullest extent the law allows, you release Wynora from claims arising from that dispute. If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Residents of other places waive any similar law.

Disputes and arbitration

Please read this section carefully. It requires most disputes to be settled by individual arbitration instead of in court, and it waives jury trials and class actions.
  • Talk to us first. Before starting any claim, email privacy@wynora.co describing the problem and what you want. We will both try in good faith to resolve it for 60 days.
  • Arbitration. If we cannot resolve it, any dispute about these Terms or our website or portal will be decided by binding arbitration before a single arbitrator administered by JAMS under its rules then in effect, including its Optional Expedited Arbitration Procedures where they apply. The Federal Arbitration Act governs this section. The arbitration will take place in the U.S. county where you live or in Natrona County, Wyoming, or by video if we both agree.
  • Exceptions. Either of us may bring a qualifying claim in small claims court, and either of us may go to court to stop misuse of intellectual property or confidential information.
  • Individual claims only. You and Wynora each give up the right to a jury trial and to bring or join a class, collective or representative action. If this waiver cannot be enforced for a particular claim, that claim will be decided in court, not in arbitration.
  • Opting out. You can opt out of arbitration by emailing privacy@wynora.co with the subject "Arbitration Opt Out" within 30 days after you first agree to these Terms.
  • Time limit. To the fullest extent the law allows, any claim must be brought within one year after it arises.
  • Signed agreements. If a signed licensing agreement has its own dispute terms, those apply to disputes about that agreement.

Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules. Any dispute that is not arbitrated will be brought only in the state or federal courts located in Wyoming, unless a signed agreement between us says otherwise.

Export controls

You agree to follow U.S. export control and sanctions laws when using our services. You confirm that you are not located in a country under a comprehensive U.S. embargo and are not on any U.S. government list of restricted parties. Do not offer or send us data that is export-controlled, such as ITAR or EAR technical data, unless we have agreed in writing.

Changes, suspension and ending

We may update these Terms as our services change. We will post the new version here with a new effective date, and for significant changes we will let portal users know by email or in the portal. Using our services after an update means you accept the new Terms.

You can stop using our services at any time and ask us to close your portal account. We may suspend or close your access, or stop or change any part of our services, at any time, including if we believe you have broken these Terms. Signed agreements stay in force under their own terms. Sections that by their nature should continue, such as disclaimers, limits of liability, your responsibility to us and disputes, continue after these Terms end.

General terms

  • Whole agreement: these Terms and our Privacy Policy are the whole agreement about using our website and portal. A signed licensing agreement controls anything it covers.
  • Relationship: nothing in these Terms makes us partners, joint venturers, employees or agents of each other.
  • Transfer: you may not transfer these Terms without our written consent. We may transfer them, for example as part of a merger or sale of our business.
  • Events outside our control: we are not responsible for delays or failures caused by events we cannot reasonably control, such as outages, natural disasters or actions of government.
  • Severability and waiver: if any part of these Terms cannot be enforced, the rest still applies. If we do not enforce a term right away, we have not given up the right to enforce it later.
  • Notices: we may send you notices by email or in your portal. Send legal notices to us by email and by mail at the address below.
